1.5. "Consumer" means any natural person who purchases goods and services for purposes not related, either directly or indirectly, to any professional activity carried out.

1.6. The Seller reserves the right to update, modify, or supplement the Terms of Sale. The new conditions will be effective from the moment they are published on the Site or otherwise made known to Customers and, with the exception of changes more favorable to Customers, will be applicable only to purchase orders sent by Customers pursuant to point 2 of these Terms of Sale after the date of publication.

1.7. In order to avoid any misunderstandings, Customers are invited to carefully read the Terms of Sale each time they decide to purchase any product through the Site.

2. Procedure for purchasing products and registering on the Site.

2.1 The Customer wishing to purchase a product on the Site may choose whether to register for free, creating a personal account, or to proceed according to the provisions of points 2.3 and following.

2.6 Registration credentials (email address and password) must be used exclusively by the Customer and cannot be transferred to third parties. The Customer undertakes to keep them secret and to ensure that no third party has access to them, and to inform the Seller immediately in the event that they suspect or become aware of any improper use or disclosure thereof.

2.7 The Customer guarantees that the personal information provided during the purchase procedure and any registration on the Site is complete and truthful, and undertakes to keep the Seller harmless and indemnified from any damage, compensatory obligation, and/or sanction deriving from and/or in any way connected to the violation by the Customer of the rules regarding registration on the Site or the safekeeping of registration credentials.

3. Information aimed at the conclusion of the contract

3.1 In compliance with Legislative Decree no. 70 of April 9, 2003, containing provisions on electronic commerce, the Seller informs Customers that:

● to conclude the purchase contract for one or more Products on the Site, the Customer must fill out an electronic order form and submit it to the Seller, electronically, following the instructions that will appear from time to time on the Site, as specified in point 2 above;

● the contract is concluded when the order form reaches the Seller's server;

● before proceeding to transmit the order form, the Customer may identify and correct any data entry errors by following the instructions on the Site during the various stages of purchase, as specified in point 2 above;

● the order form will be archived in the Seller's IT database for the time necessary for its execution and, in any case, within the terms of the law. The Customer may access the order form and/or the data related thereto through their personal account.

● The Seller undertakes to promptly acknowledge the orders received through an order confirmation that summarizes the general terms and conditions applicable to the contract, the information regarding the essential characteristics of the good, a detailed indication of the price, and all information useful to the Customer for the exercise of their rights.

● The languages available to Customers for the conclusion of the contract are Italian and English. Customer Service is able to communicate with Customers in these same languages.

4. Acceptance of the Terms of Sale

4.1 These General Terms and Conditions of Sale are valid from the day the purchase contract is concluded and may be updated, supplemented, or modified at any time by the Seller, as better specified in point 1.6.

4.2 These Terms of Sale must be examined by the Customer before completing the purchase procedure. The submission of the purchase order confirmation, therefore, implies total knowledge thereof and their full acceptance.

4.3 By electronically sending their purchase order confirmation, the Customer unconditionally accepts and undertakes to observe, in their relations with the Seller, the general and payment terms illustrated below, declaring that they have read and accepted all the information provided by them pursuant to the above-mentioned regulations, and also acknowledging that the Seller does not consider themselves bound by different conditions unless previously agreed upon in writing.

4.4 Acceptance of the terms of sale must be manifested through the exact completion of all sections of the electronic form, following the on-screen instructions and, finally, selecting and, therefore, accepting the boxes labeled “I have read the General Terms and Conditions of Sale and accept them in full”.

5. Sales prices and shipping costs

5.1 The sales prices of the Products are expressed in Euros and include VAT and all other taxes. They do not, however, include taxes and duties required outside the European Union. These will have to be paid by the Customer upon receipt of the Products.

5.2 Shipping costs may vary depending on the chosen delivery method and/or the payment method used.

5.3. Shipping costs will be specifically indicated (in Euros and including VAT) during the purchase process, before the Customer is bound by the contract, in the order summary and in the order confirmation email.

5.4 The Seller reserves the right to change the price of the Products at any time. It is understood that the price of the Product that will be charged to the Customer will be the one indicated in the order summary, displayed by the Customer before placing the order, and that any subsequent variations (increase or decrease) will not be taken into account after the transmission of the order itself.

6. Payment methods and purchase orders

6.1 Payment of the amount due for the purchase of Products through the Site can be made by credit card (VISA, Mastercard, Maestro), Paypal or Apple Pay, bank transfer, Satispay or Scalapay. The latter method allows for payment to be split into 3 interest-free installments up to 3,000.00 Euros. In the event that one of these methods cannot be used in relation to a specific Product or order, this will be clearly indicated on the Site at the latest at the beginning of the purchase process. Payment methods that are not available will in any case not be selectable by the Customer during the appropriate phase of the purchase process. By purchasing with Scalapay, you receive the order immediately and pay for it in 3 installments. It is acknowledged that the installments will be transferred to Incremento SPV S.r.l., to related parties and their assignees, and that by opting for the Scalapay system, you authorize such transfer.

6.2 The sales contract is subject to the condition subsequent of the successful payment, or in any case, payment authorization, of the total amount indicated at the time the purchase order is sent. In the event that payment does not occur or payment authorization is unsuccessful, the contract will be considered terminated by law. The Customer will be informed of this negative outcome via email communication.

6.3 In case of suspected illegal activities related to the selected payment method, even simply following a report by payment intermediaries, the Seller reserves the right to require the Customer to enter a different or additional payment method, under penalty of legal termination of the sales contract.

7. Delivery methods

7.1 The Seller will ship the selected and ordered products to the Customer, at the address indicated by them, according to the methods provided for in the previous articles, by trusted couriers and/or forwarders, and in particular UPS Standard, UBM Bike: Eco-Friendly (available only in Milan) and UPS EXPRESS. The average delivery time for domestic orders (Italy) with Standard delivery is 2-3 working days. For shipments to the islands, a few extra days are required. For domestic orders (Italy) with EXPRESS delivery, it is 1-2 working days. For international orders, the average delivery time is 2-6 working days, but may take up to 3 weeks. International shipping times depend on the customs policies of the country to which the shipment is made.

7.2 Upon receipt, the Buyer is required to verify the conformity of the product delivered to them with the order placed.

7.3 No liability may be attributed to the Seller for delayed or non-delivery due to force majeure or unforeseeable circumstances.

7.4 The Seller will not be liable to any party or third party regarding damages, losses, and costs suffered as a result of the non-delivery of the good within the expected times, the Customer having the right only to the refund of the price possibly paid.

8. Right of withdrawal

8.1 Pursuant to articles 52-59 of Legislative Decree no. 206 of September 6, 2005, the Customer, in their capacity as a consumer, if residing in Italy, in one of the countries belonging to the European Union or in the United Kingdom, may exercise the right of withdrawal, obtaining a refund of the price paid for the purchase. The direct costs of returning the good (such as shipping costs) are borne by the customer. The received good must be returned in its original packaging, without any handling other than that necessary to establish the nature and characteristics of the good itself.

8.2 In the cases and under the conditions referred to in point 8.1, the Customer-consumer who, for any reason, does not feel satisfied with the purchase made, has the right to withdraw from the stipulated contract, without any penalty and without specifying the reason, within the period of fourteen days starting from the day of receipt of the good or goods purchased.

8.3 To exercise the right of withdrawal, the Customer must, within the period indicated in point 8.2, fill out the form in the “HOW: return my order” section of the Site, or, within the same period, present any other explicit declaration of the decision to withdraw from the contract, by sending communication to the Seller's contacts, optionally also making use of the special form available on the Site.

8.4 Once the withdrawal notice has been received, the Seller will immediately send confirmation of receipt of the notice to the Customer's email address, as well as a prepaid label that the Customer can use to facilitate and speed up the return of the Product and the relative instructions. Alternatively, the Customer may choose to independently organize the shipment for the return of the good; in this case, the Seller cannot in any way be held responsible for the shipment or its outcome.

8.5 The Customer, once having exercised the right of withdrawal within the terms referred to in the points above, must return the goods, including by handing them over to a third party authorized by the Seller to receive the goods, without undue delay and in any case within fourteen days from the date on which they notified the Seller of their decision to withdraw from the contract. This deadline is considered met if the consumer ships the goods before the expiration of the fourteen-day period.

8.6 The Seller will refund all payments received from the Customer, without undue delay and in any case within fourteen days from the day they are informed of the consumer's decision to withdraw from the contract. The refund will be executed using the same payment method used by the Customer for the initial transaction, unless they have expressly agreed otherwise and on condition that they do not have to incur any costs as a consequence of the refund.

8.7 The cost of the return is borne by the Customer. If they choose to make use of the return method offered by the Seller, the cost of the return will be advanced by the Seller and consequently deducted from the amount to be refunded pursuant to point 8.6 above. Alternatively, if the Customer expressly chooses a type of return other than the least expensive type of delivery offered by the Seller, they will not be required to refund the Customer for any additional costs incurred.

8.8 The Customer is solely responsible for the decrease in the value of the goods resulting from handling the Product other than that necessary to establish the nature, characteristics, and functioning of the Product. The Product must in any case be kept, handled, and inspected with normal diligence and returned intact, complete in all its parts, perfectly functional, accompanied by all accessories and instruction leaflets, with the original packaging, identification tags, labels, and disposable seal, where present, still attached to the Product and intact and untampered with, as well as perfectly suitable for the use for which it is intended and free of signs of wear or dirt. Furthermore, the withdrawal applies to the Product in its entirety. It cannot therefore be exercised in relation to parts and/or accessories of the Product.

8.9 In the event that the withdrawal has not been exercised in accordance with the provisions of the applicable legislation, it will not result in the termination of the contract and, consequently, will not entitle the Customer to any refund. The Seller will notify the Customer of this via email within 5 working days of receipt of the Product, rejecting the withdrawal request. The Product will remain with the Seller at the disposal of the Customer for collection, which must take place at the Customer's own expense and under their responsibility.

8.10 Regarding contracts concluded through the Site, the right of withdrawal is excluded for the supply of goods made to measure or clearly personalized.

8.11 The Customer who, within the same period of fourteen days from delivery of the good, wishes to replace the purchased Product with a different one available on the Site, may contact the Seller through the form available in the appropriate section on the Site. The Seller will contact the Customer within 48 hours to provide them with all the necessary instructions. In case of replacement of the purchased good with another Product, shipping costs will be borne by the Seller for 50% of the total amount of said costs. If, after a first replacement, a further replacement of the already replaced Product is requested, again within the aforementioned period, the shipping costs related to the new replacement and any subsequent ones will be borne entirely by the Customer. The Product replacement procedure is excluded for the supply of goods made to measure or clearly personalized.

8.12 The previous provisions referred to in this point 8 do not apply to the Customer-consumer who resides in countries that are not members of the European Union, with the exception of the United Kingdom. The regulations regarding the sale of consumer goods of the country in which they habitually reside will apply to the same Customer-consumer.

9. Legal Guarantee of Conformity

9.1 All products sold on the Site are covered by the legal guarantee of conformity provided for by articles 128-135 of the Consumer Code (''Legal Guarantee'').

Organismi ADR, come indicati agli artt.
